Facing problem in registering a third party DLL using REGASM.

Hello all,

i am trying to register a third party .NET DLL which i want to reference in my C++ project, using regasm.exe. But its giving me the error saying "Failed to load <My DLL> because it is not a valid .NET assembly" . What is this problem all about and  how shall I resolve it?  Waiting for your help.
